Terms of Service

These Terms govern your access to and use of SiteUpStudio's websites, AI agents, and subscription services. By engaging us or using the services, you agree to these Terms.

1. Services

SiteUpStudio designs, builds, hosts, and operates websites and AI sales agents for US small businesses. Specific deliverables are described in your order, statement of work, or subscription plan.

2. Subscription, Setup & Billing

  • Setup fees are billed once at the start of an engagement.
  • Monthly subscriptions are billed in advance and renew automatically until cancelled.
  • All fees are in USD and exclusive of taxes where applicable.

3. Client Responsibilities

  • Provide accurate business information, brand assets, and timely feedback.
  • Ensure you have the rights to all content, logos, and data you provide.
  • Comply with applicable laws, including consumer protection and advertising rules.

4. AI Agent Limitation of Liability

Important: SiteUpStudio's AI Sales Manager and any other AI agents we deploy are powered by third-party large language models. These systems are probabilistic and may occasionally produce inaccurate, incomplete, or unintended responses ("hallucinations").

To the maximum extent permitted by law:

  • SiteUpStudio is not liable for autonomous AI responses, hallucinations, recommendations, quotes, commitments, or any other actions taken by AI models deployed on client websites.
  • The client is solely responsible for reviewing AI outputs, confirming material commitments (pricing, scheduling, legal advice), and supervising the agent's behavior on their site.
  • All AI features are provided "AS-IS" and "AS-AVAILABLE", without warranties of accuracy, fitness for a particular purpose, or non-infringement.
  • SiteUpStudio's total aggregate liability under these Terms shall not exceed the fees paid by the client in the three (3) months preceding the claim.

You agree to indemnify and hold SiteUpStudio harmless from claims arising out of content you provide, business commitments you choose to honor based on AI output, or your end users' interactions with deployed AI agents.

5. Intellectual Property

Upon full payment, you receive a license to the website code and design assets we deliver for your business. SiteUpStudio retains ownership of underlying templates, frameworks, internal tooling, and AI prompt libraries.

6. Confidentiality

Each party agrees to protect the other's confidential information and use it only to perform the services.

7. Termination

Either party may terminate a subscription at any time per the Refund & Cancellation Policy. We may suspend services for non-payment, abuse, or violations of these Terms.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes shall be resolved in the state or federal courts located in Delaware.

9. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice.
